Our Commercial Unit advises on commercial transactions including business and asset acquisitions, mergers, joint ventures, syndications and restructurings including the financing thereof. It also specializes in tailor made instruments used in banking, development of new products, derivatives, structuring of finance instruments, capital markets and debentures. The Unit undertakes negotiations, with or on behalf of the clients, drafting of the required documents including information memoranda and all transactional documents and legal due diligences. It also undertakes incorporation of local and foreign companies, incorporation of non-governance organizations, trusts, advising and preparation of agreements and documents relating to privatization of state corporations, preparation of all manners of commercial agreements, advising on listings as well as debt and equity offering through the Nairobi Stock Exchange. Additionally, this Unit undertakes the preparation of compliance manuals covering all processes in a client’s business for internal, compliance or certification purposes. The rapid changes in our legislation on health, safety, environmental and compliance (the prudential guidelines in the financial sector) means that corporations have extra work to do just to be compliant. The manuals serve as a one stop reference and provide checklists for various business units to avoid noncompliance as well as identifying operational risk gaps.
